General terms and conditions of sale
Offers, services and deliveries by Cambois SA, Chemin des Emetaux 1, CH-1131 Tolochenaz (“Cambois SA”) are made exclusively on the following terms and conditions, unless a mandatory legal requirement or an express written agreement between the parties provides otherwise.
- Offers are always non-binding and subject to confirmation. All customer orders require written confirmation by Cambois SA in order to be legally effective.
- These terms and conditions are deemed accepted at the latest when the customer accepts the goods or services. The customer's own terms of business and purchase do not apply.
- Drawings, illustrations, dimensions and other data in catalogues and other depictions of the goods are binding only if expressly confirmed in writing.
- Information given by Cambois SA about delivery dates is always non-binding. In the exceptional cases where a delivery date is designated as binding, the parties allow a reasonable period of grace before refusing later performance.
- All price and cost information refers to net prices, exclusive of value added tax. Prices refer to goods made available at the Cambois SA warehouse and do not include transport costs.
- Cambois SA selects and measures the goods in the customary commercial way, unless a product specification has been agreed with the customer. In the case of burl, pyramid-grain or figured veneers and other types of wood grown in movement, leaves trimmed up to 5% below size do not constitute defective goods.
- Cambois SA gives no warranty or assurance in relation to specific properties of the goods or their usability. The same applies to employees of Cambois SA, who are not authorised to make declarations to this effect to the customer.
- Cambois SA is entitled to make partial deliveries.
- The risk of deterioration and destruction of the goods passes to the customer on selection of the goods or on processing ready for delivery. This also applies where Cambois SA handles the delivery of the goods by special agreement.
- Storage of the goods from the date of sale, as well as shipment, take place at the customer's expense and risk, even for carriage-paid consignments. We are entitled, but not obliged, to take out insurance. Pursuing any transport damage is the consignee's responsibility. Carriage of the goods within Switzerland takes place at the customer's expense and risk.
- The goods remain the property of Cambois SA until full payment of all claims arising from the entire business relationship between the customer and Cambois SA. If the goods are processed, Cambois SA acquires proportionate co-ownership of the customer's related products. In the case of third-party attachment, the customer shall draw attention to Cambois SA's co-ownership. The customer hereby assigns claims against third parties arising from the onward sale of its products, up to the amount of the payment claims existing in favour of Cambois SA. The customer shall transfer payments made to it by third parties to Cambois SA until all existing payment claims have been satisfied.
- The customer shall submit complaints about the quality or processing of the goods in writing within 8 days of receipt and, in all cases, before the goods are further processed. Defects that are not detectable before processing are an exception: the customer shall report them to Cambois SA immediately upon discovery. The same applies to the provision of individual services by Cambois SA.
- If the defects in the goods are more than minor, Cambois SA will, at its discretion, supply replacement goods or grant a reasonable price reduction. The customer has no further claims, in particular for reimbursement of costs and losses incurred through the further processing of the goods.
- If a defect within the meaning of the law on the sale of goods exists and demonstrably existed at the time the risk passed, and if the buyer has fulfilled its obligation to examine the goods and to notify defects, Cambois SA may, at its discretion, repair the defective part or item, supply a replacement or, where it forgoes repair or replacement, grant the buyer a reduction of the purchase price. This obligation lapses 12 months after delivery. After that point the buyer has no further claims, whether the defect is apparent or hidden. These rights do not apply to defects resulting from force majeure or extreme force.
- Right of return. Consumers may return standard catalogue items within 14 days of receipt, provided the goods are unused, uninstalled, undamaged and in their original packaging. Made-to-measure goods, custom cuts, photo-matched selections, installed or processed goods and samples are excluded. Return shipping is at the customer's expense. - Cambois SA may request a down payment and require reasonable instalments at any time. Until down payments and instalments have been made, Cambois SA is not bound to provide further services. If a payment deadline is missed, or if circumstances become known which call the customer's creditworthiness into question, all payment claims of Cambois SA against the customer fall due immediately.
- Invoices are payable within 30 days net unless other terms are agreed. In the event of late payment, default interest of 5% is payable together with a reminder fee of up to CHF 200. Where debt collection becomes necessary, the resulting costs are charged.
- The customer may offset its payment obligation against claims arising from other contractual relationships with Cambois SA, or withhold funds accordingly, only where such claims are undisputed or have been established by a legally binding decision.
- The place of performance for both parties is Tolochenaz. The legal relationship between the customer and Cambois SA is governed by Swiss law, to the exclusion of all conflict of law rules. The place of jurisdiction is Tolochenaz.
All further claims on the part of the buyer, such as rescission of the sale, reduction of the purchase price, damages (including liability for consequential losses) and the like, are expressly excluded.
